INSTRUMENT APPOINTING PROXY
2010 ANNUAL AND/OR SPECIAL MEETING OF MEMBERS

The undersigned, a Member of CAA North & East Ontario, appoints Brent Wilson, Chair of the Board of CAA North & East Ontario, or failing him, Frances Mannarino, Vice Chair of the Board, or failing her, a Director of CAA North & East designated by the Board of Directors, or in lieu of all of the foregoing as nominee of the undersigned to attend, vote and act on behalf of the undersigned at the Annual and Special Meeting of Members of CAA North & East Ontario to be held on the 22nd day of January, 2010 at the Chateau Laurier Hotel, 1 Rideau Street, Ottawa, Ontario at the hour of 5:30 p.m. in the afternoon Ottawa time, and at any adjournment thereof in the same manner, to the same extent and with the same powers as if the undersigned were present in person at the said meeting or such adjournment thereof. The Notice of Meeting appears in the Club publication.

Proxies must be received by the Club no later than 4:30 p.m. on Thursday, January 21, 2010. Proxies received after this deadline will not be accepted.

NOTES ON SOLICITED PROXY FORM

1) As a substantial representation of Members is desired at any meeting, if you are not able to be personally present, please sign, and return the Instrument Appointing Proxy with your membership renewal payment in the enclosed envelope.

2) Under the laws of Ontario, any Member may appoint any person, who need not be a Primary Member, as the nominee to attend, vote and act at the meeting in the manner, to the extent and with such powers as may be conferred in the Instrument of Proxy.

3) The Member giving the proxy has the power to revoke it at any time before the exercise by instrument in writing deposited either at the head office of CAA North & East Ontario up to 48 hours preceding the day of the meeting at which the proxy is to be used, or with the Chair of the meeting on the day of the meeting.
